1. Acceptance of Terms
By accessing the website or engaging the services of CanopyFlow AI, you agree to be bound by these Terms of Service. These terms govern your use of our AI-driven process optimization, workflow design, and IT consulting services. If you do not agree with any part of these terms, you must cease use of our site and services immediately.
2. Description of Services
CanopyFlow AI provides specialized Business Process Automation (BPA) solutions, including but not limited to AI-driven process optimization, intelligent workflow design, predictive analytics, and automated data management. All services are provided subject to the specific terms set out in individual Statement of Work (SOW) documents executed between CanopyFlow AI and the client.
3. Client Obligations
Clients seeking Seattle IT consulting and automation services must provide accurate, current, and complete information as necessary for the performance of the services. You are responsible for maintaining the confidentiality of any credentials provided and for all activities that occur under your account.
4. Payment and Fees
Fees for automation service terms are billed according to the agreed-upon project milestones or subscription tiers. All payments must be made in U.S. Dollars. Late payments may be subject to interest as permitted by law or suspension of access to automated workflows and analytics dashboards.
5. Intellectual Property Rights
Unless otherwise stated in a signed agreement, all intellectual property in the algorithms, software, and methodologies developed by CanopyFlow AI remains the exclusive property of CanopyFlow AI. Clients are granted a limited, non-transferable license to utilize the resulting automated outputs for their internal business purposes.
6. Limitation of Liability
In no event shall CanopyFlow AI be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, incurred by you or any third party, whether in an action in contract or tort, even if advised of the possibility of such damages. Our total liability for any claim arising out of these terms shall not exceed the amount paid for the specific service in question.
7. Governing Law
These terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the courts located in Seattle, WA.
8. Termination
Either party may terminate the engagement for convenience upon 30 days written notice. CanopyFlow AI reserves the right to terminate access to services immediately if a client violates these terms or engages in conduct that we deem harmful to our business interests or brand reputation.
